Terms of Service

These terms apply to all NeuroQuest Labs products and services, including Jottly, Alto, openflow, Zorilla, Stratus, and any future products.

1. Agreement to these Terms

These Terms of Service (the “Terms”) form a binding agreement between you and Killebrew Technologies LLC, a Texas limited liability company doing business as NeuroQuest Labs (“NeuroQuest Labs”, “Company”, “we”, “us”, or “our”). By accessing or using any NeuroQuest Labs website, application, or service (collectively, the “Services”), you agree to be bound by these Terms. If you do not agree, do not use the Services.

If you use the Services on behalf of an organization, you represent that you are authorized to accept these Terms on its behalf, and “you” refers to that organization.

Some Services have additional, product-specific terms (for example, a research-preview notice or subscription plan). Those supplemental terms are incorporated by reference and, where they conflict with these Terms, control for that Service only.

2. The Services

NeuroQuest Labs builds agentic, AI-powered software. The Services may rely on machine-learning models, third-party model providers, and automated processing. Features may change, be added, or be removed at any time. We may suspend or discontinue any Service, in whole or in part, with or without notice.

3. Eligibility and accounts

  • You must be at least 13 years old to use the Services (and older where a higher age is required by local law).
  • You are responsible for the accuracy of the information you provide and for maintaining the confidentiality of your account credentials.
  • You are responsible for all activity that occurs under your account. Notify us promptly of any unauthorized use.
  • Account sharing may be restricted, and accounts may be suspended or terminated for violations of these Terms.

4. Acceptable use

You agree not to, and not to allow others to:

  • Use the Services in violation of any applicable law, regulation, or third-party right, including intellectual-property and privacy rights;
  • Upload or generate content that is illegal, harmful, infringing, defamatory, or that contains malware;
  • Attempt to breach, probe, or circumvent security or access controls, or interfere with the integrity or performance of the Services;
  • Reverse engineer, scrape, or use automated means to access the Services except as expressly permitted;
  • Use the Services to build a competing product, or resell or commercially exploit the Services without our written permission;
  • Misuse AI features to generate content that violates applicable law or the rights of others.

Violation of this section may result in immediate suspension or termination without refund.

5. Your content

You retain ownership of the content and data you submit to the Services (“Your Content”). You grant us a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, and display Your Content solely to operate, secure, and improve the Services and to provide them to you. You represent that you have the rights necessary to submit Your Content and to grant this license.

We do not claim ownership of Your Content and we do not sell it. Our use of personal data is described in ourPrivacy Policy.

6. AI features and output

  • The Services may generate output using AI models. Output can be inaccurate, incomplete, or otherwise unsuitable, and may be similar to output provided to other users.
  • You are responsible for evaluating output before relying on it. Do not use output as a substitute for professional advice (legal, medical, financial, or otherwise).
  • As between you and us, and to the extent permitted by law, you own the output you generate through your lawful use of the Services, subject to these Terms and the terms of any underlying model provider.

7. Subscriptions, billing, and refunds

Paid plans are billed through our payment processor (Stripe) on the cycle shown at purchase. Unless a specific Service states otherwise:

  • Subscriptions renew automatically until cancelled. You may cancel at any time; access continues until the end of the current billing period.
  • Except where required by law or expressly stated for a Service, payments are non-refundable.
  • We will provide reasonable advance notice of material price changes.
  • Initiating a chargeback instead of contacting us may result in account suspension pending resolution.

openflow Free includes the monthly usage allowance shown in the application. openflow Pro is subject to reasonable fair-use, abuse, and per-recording limits and may limit the number of connected personal devices. Allowances reset on the applicable billing cycle. We may slow, pause, or suspend automated access that is abusive, unsafe, or materially exceeds ordinary personal use.

8. Third-party services

The Services integrate with or rely on third-party services (for example, model providers, cloud hosting, payment processing, and authentication). Your use of those services may be subject to their own terms, and we are not responsible for third-party services.

9. Intellectual property

The Services, including all software, models, designs, text, and branding (excluding Your Content), are owned by NeuroQuest Labs or its licensors and are protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Services in accordance with these Terms. All rights not expressly granted are reserved.

10. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT OUTPUT WILL BE ACCURATE OR RELIABLE.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • NEUROQUEST LABS AND KILLEBREW TECHNOLOGIES LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, GOODWILL, OR BUSINESS INTERRUPTION;
  • OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE APPLICABLE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless Killebrew Technologies LLC, NeuroQuest Labs, and their members, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from your use or misuse of the Services, Your Content, or your violation of these Terms or of any law or third-party right.

13. Termination

You may stop using the Services at any time. We may suspend or terminate your access at any time if you violate these Terms, if required by law, or to protect the Services or other users. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, indemnification, and dispute resolution) will survive.

14. Governing law and dispute resolution

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. Subject to the arbitration provision below, you agree to the exclusive jurisdiction and venue of the state and federal courts located in Dallas County, Texas.

Binding arbitration. To the fullest extent permitted by law, any dispute arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration administered by a recognized arbitration provider, seated in Dallas County, Texas.

Class-action waiver. Disputes will be resolved only on an individual basis; you and we waive any right to participate in a class or representative action. Nothing here prevents either party from seeking relief in small-claims court or seeking injunctive relief for intellectual property or unauthorized-access claims.

15. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date and, where appropriate, provide additional notice. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
